1. Acceptance & Operating Structure

By accessing or using Novekra ("Platform," "we," "our," or "us"), individually owned and operated by Harsh Ishwarbhai Mehta ("Operator"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the Platform. Novekra is not an incorporated company, limited liability partnership, or registered corporate entity; all software services, intellectual property, and operations are managed by the individual Operator.

Platform Availability & Early Access:Features on the Platform are provided on an "as is" and "as available" basis for personal analytical, educational, and portfolio evaluation purposes. We reserve the right to modify, update, suspend, or discontinue any feature at any time without liability.

3. User Eligibility & Account Security

To create an account and participate in the Private Beta:

• You must be at least 18 years of age and legally competent to contract under the Indian Contract Act, 1872.
• You must provide accurate, current registration details and a valid email address.
• You are responsible for maintaining the confidentiality of your account credentials and password.
• You agree to immediately notify us of any unauthorized use or security compromise of your account.

4. Read-Only Broker Connections & Market Data Feeds

Novekra enables optional synchronization with Indian demat brokers (such as Zerodha and Upstox) via their official developer APIs:

• Strictly Read-Only Ingestion: Novekra strictly requests read-only portfolio holding permissions. Novekra cannot execute market orders, modify trades, initiate fund transfers, or alter your demat holdings.
• Broker API Independence: Novekra is independent of Zerodha Broking Ltd. and RKSV Securities India Pvt. Ltd. (Upstox). We are not responsible for broker API downtime, session expirations, data delivery latencies, or errors originating from third-party broker systems.
• Indicative Market Quotes: Market prices, indices, and quotes are provided via periodic HTTP snapshots from platform market feeds (Upstox). Pricing data is indicative and subject to provider refresh intervals, caching policies, and exchange operating hours. It must not be relied upon for high-frequency or real-time trade execution.
• Revocation Rights: You can disconnect any broker connection at any time in Account Settings, which immediately deletes stored encrypted tokens from our database. Upstream broker tokens expire according to each broker's standard session expiration policy.

5. Ask Novekra AI & Machine-Generated Insights

Ask Novekra AI uses generative artificial intelligence models to synthesize portfolio data, search securities, and execute mathematical calculations. You acknowledge and agree that:

• AI responses may occasionally contain errors, approximations, or historical data gaps.
• AI outputs must never be treated as professional investment recommendations or advisory opinions.
• You must independently verify all calculations, corporate actions, and valuations before acting upon them.

6. Account Deletion & Right to Erasure

You may terminate your account at any time using the self-service account deletion tool located in Account Settings. Executing account deletion permanently erases all personal data, broker credentials, snapshots, and workspace modules from our active systems.

7. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Novekra, its developers, affiliates, and licensors shall NOT be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, investment losses, capital erosion, business interruption, or data corruption arising from your use of or inability to use the Platform.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, claim, or controversy arising out of or in connection with these Terms shall be subject to the jurisdiction of the competent civil courts of India, determined in accordance with applicable Indian procedural law and the verified location of the individual Operator. Specific arbitration procedures and forum-selection clauses remain subject to formal review by qualified Indian legal counsel.
